Tutorial Instructor Agreement

(This is for review only, the actual agreement is part of the registration process)

O'Reilly & Associates, Inc. (O'Reilly) and __________________________________ (you) hereby enter into an agreement for the preparation and presentation of professional training material at the dates, times, and locations specified below. This agreement is binding upon both parties upon execution and may be modified only by mutual consent.
  1. Tutorial Details:

    You agree to prepare and present the following tutorial(s) on behalf of O'Reilly:

    Audiovisual equipment: O'Reilly will provide high standard equipment and support as set out on the Hardware Request Form for audiovisual equipment. However, if you have particular needs, please communicate them to O'Reilly no later than June 15, 2005.

  2. Compensation

    O'Reilly will provide you with free admission to all other O'Reilly events held in conjunction with the tutorial, and give you a complete set of any event materials.

  3. O'Reilly will pay an honorarium of $500.00 for each 1/2 day tutorial.

  4. Travel & Other Costs

    O'Reilly will reimburse you based on the following criteria:

    Domestic:
    • Up to $300 from West Coast
    • Up to $500 from East Coast

    International
    • Up to $800

    O'Reilly will cover your air travel for economy class airfare only. No first or business class airfare or paid upgrades will be reimbursed.

    O'Reilly will provide you lodging for one night at the conference hotel if you must travel more than 30 miles to make your presentation. O'Reilly will make the reservation for you, and additional room nights stays are your responsibility. You will need to provide the hotel with your valid credit card number to cover all additional nights stayed, and incidental expenses not covered by this agreement.

    O'Reilly will reimburse you for up to $50 per day for personal meal expenses associated with making your tutorial presentation, for a maximum of two days. Reimbursement is made after you submit a report of your expenses, including all receipts. O'Reilly will not pay for hotel incidental expenses such as laundry fees or in-room entertainment, nor will it reimburse meal expenses other than your personal meals. Requests for reimbursement must be submitted within 60 days following the event. Expenses on reports submitted after that date will not be reimbursed.

  5. Material Standard, Due Dates

    You agree to prepare tutorial content that meets commonly accepted standards for professional training presentations made to the public. You agree to create an attendee tutorial workbook that contains at a minimum all of the presentation slides you create for each tutorial. The exact content of each tutorial is strictly your responsibility.

    You agree to provide O'Reilly (and/or its designated partners) with hard copy and electronic files of your tutorial materials. Final materials are due:

    July 1, 2005

    Email all files by the deadline date to vee@oreilly.com, or upload your file at www.arccopy.com.

    If tutorial workbook materials have not been received by two weeks after the due date, O'Reilly reserves the right to cancel the tutorial and this agreement without compensation to you. O'Reilly will not be responsible for any expenses you incur to reproduce workbooks not submitted to O'Reilly by the due date.

    We reserve the right to edit materials to conform to our style and production guidelines.

  6. License to Reproduce Presentation Materials

    You grant O'Reilly a license to copy, publish, and distribute copies of your presentation and presentation materials prepared for the tutorial(s) for a period of six months after your presentation. You also agree that audio and video recordings and transcripts of your tutorial may be made, and may be reproduced on any media and resold by O'Reilly for a period of six months after your presentation.

    O'Reilly will pay you a royalty of 20% of net sales from any sales of your tutorial workbook or audio or video recordings. Royalties will be paid on a calendar quarterly basis.

    You may promote and sell any books authored by you in the room of your presentation. If your publisher desires to sell your books it may do so, subject to purchasing exhibit space, if available, at the conference from O'Reilly.

  7. License to Use Your Name and Image

    You grant O'Reilly the right to use your name and likeness, and to publish and distribute information about you and your tutorial in advertising and promotion of the tutorial, or in other O'Reilly activities, products, or services related to the tutorial.

  8. Agreement to co-promote

    You agree to take reasonable steps to promote your course through means accessible to you. This includes adding your tutorial to any public schedule of your teaching engagements that may be published electronically or in print. It also includes adding a link to the tutorial home page to your public web page if you maintain one.

  9. Your Warranty to Us

    You warrant that: (i) that the presentation and any workbook material do not violate or infringe any right of privacy, copyright of others, or any other rights of third parties or any applicable law, and (ii) all information provided by you to O'Reilly regarding your academic and other qualifications and expertise is true, complete, and not misleading.

  10. Cancellation

    O'Reilly reserves the right to cancel your tutorial(s) for any reason including lack of attendance. O'Reilly's total liability to you in the event of such cancellation is an amount equal to 25% of the total honoraria stated above. If O'Reilly is forced to cancel your tutorial due to circumstances beyond its control, O'Reilly is not obligated to make any payment to you.

  11. Entire Agreement

    This Tutorial Instructor Agreement and the Tutorial Instructor Instructions constitute the entire agreement between you and O'Reilly concerning this matter and supercedes any prior agreements or undertakings. This agreement cannot be amended except in writing signed by both parties.
